The template
Everything in {{double braces}} is a merge tag. SERVICE AGREEMENT
This Service Agreement (the "Agreement") is entered into as of {{Start Date}} by and between:
{{Provider Name}}, with a principal place of business at {{Provider Address}} ("Provider"); and
{{Client Name}}, with a principal place of business at {{Client Address}} ("Client").
The parties agree as follows:
1. SERVICES AND SCOPE OF WORK
Provider agrees to perform the following services for Client (the "Services"): {{Scope of Work}}. Provider shall perform the Services in a professional and workmanlike manner, consistent with generally accepted industry standards. Any work outside this scope requires a written change order signed by both parties before the additional work begins.
2. DELIVERABLES
Provider shall provide the work product described in the Scope of Work (the "Deliverables") according to any schedule set out therein. Client shall have five (5) business days from delivery to review each Deliverable and request reasonable revisions consistent with the Scope of Work; Deliverables not rejected in writing within that period are deemed accepted.
3. TERM
This Agreement begins on {{Start Date}} and continues until the Services are completed and the Deliverables are accepted, unless terminated earlier in accordance with Section 9.
4. COMPENSATION AND PAYMENT TERMS
Client shall pay Provider {{Service Fee}} for the Services, payable {{Payment Schedule}}. Invoices are due within fifteen (15) days of receipt. Late payments may accrue interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is less. Provider may suspend work on accounts more than thirty (30) days past due after written notice.
5. EXPENSES
Client shall reimburse Provider for reasonable out-of-pocket expenses incurred in performing the Services, provided such expenses are approved by Client in writing in advance and receipts are submitted with the applicable invoice.
6. INDEPENDENT CONTRACTOR
Provider is an independent contractor, not an employee, agent, or partner of Client. Provider is responsible for its own taxes, insurance, and benefits, and controls the manner and means by which the Services are performed. Nothing in this Agreement creates a joint venture, partnership, or employment relationship.
7. CONFIDENTIALITY
Each party shall keep confidential any non-public business, technical, or financial information received from the other party in connection with this Agreement, use it solely to perform its obligations hereunder, and protect it with at least reasonable care. These obligations survive termination of this Agreement.
8. INTELLECTUAL PROPERTY
Upon Client's payment in full of all fees due, Provider assigns to Client all right, title, and interest in the Deliverables. Provider retains ownership of its pre-existing materials, tools, templates, and know-how, and grants Client a perpetual, non-exclusive, royalty-free license to use them to the extent they are incorporated in the Deliverables. Provider may identify Client and describe the general nature of the Services in its portfolio unless Client requests otherwise in writing.
9. TERMINATION
Either party may terminate this Agreement for convenience upon {{Notice Period}} written notice to the other party. Either party may terminate immediately if the other party materially breaches this Agreement and fails to cure the breach within ten (10) days of written notice. Upon termination, Client shall pay Provider for all Services performed and approved expenses incurred through the effective date of termination, and Provider shall deliver all completed or in-progress Deliverables paid for by Client.
10. WARRANTIES AND LIMITATION OF LIABILITY
Provider warrants that the Services will be performed in a professional manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED. Neither party shall be liable for indirect, incidental, special, or consequential damages, including lost profits. Each party's total liability under this Agreement shall not exceed the total fees paid or payable by Client hereunder. Nothing in this section limits liability for gross negligence, willful misconduct, or breach of Section 7.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of {{Governing State}}, without regard to its conflict-of-law principles.
12. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior proposals, discussions, and agreements. Any amendment must be in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent.

Tip: write Scope of Work exactly as it should appear in the contract — it drops into Section 1 as-is, so a specific, self-contained sentence works best. Columns that never change, like Provider Name and Governing State, can repeat the same value in every row.
Generate one agreement per client
Copy the template into a Google Doc. Click Copy template above, paste into a new Doc, and add your letterhead, logo, and house style — tags survive formatting. Have your attorney adjust the clauses for your industry and state before first use.

FAQ
Do I still need a lawyer if I use this template?
Yes — at least once. This is a general template, not legal advice, and clauses like limitation of liability, IP assignment, and termination need to fit your industry and your state's law. Have a qualified attorney review and tailor it before you send it to a real client; after that, the merge tags let you reuse the approved language safely.
How do I handle a different scope of work for every client?
That's exactly what the Scope of Work column is for — each row carries its own scope text, and Batch Merge drops it into Section 1 of that client's agreement. For long, multi-paragraph scopes, keep a one-sentence summary in the column and attach a detailed statement of work as an exhibit.
Can I use this for both fixed-fee and hourly engagements?
Yes. The Service Fee and Payment Schedule columns are free text, so one row can read "$7,500 (fixed fee)" with "50% on signing, 50% on acceptance" while the next reads "$150 per hour" with "monthly in arrears, net 15" — same template, no edits to the Doc.
