1. Acceptance of Terms
By installing, accessing, or using Batch Merge ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use Batch Merge. These Terms constitute a legally binding agreement between you and Batch Merge.
Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
2. Description of Service
Batch Merge is a Google Sheets add-on available through the Google Workspace Marketplace. The Service enables users to generate personalized documents -- including PDFs, DOCX files, and Google Docs -- from spreadsheet data using Google Docs templates with {{tag}} placeholder syntax.
Key capabilities of the Service include:
- Creating documents by merging spreadsheet row data into Google Docs templates
- Exporting generated documents as PDF, DOCX, or Google Doc format
- Per-row email delivery of generated documents to recipients
- Batch notification summaries with links to all generated documents
- Scheduled and automated merge operations on recurring intervals
- Status tracking to prevent duplicate processing of spreadsheet rows
Batch Merge runs entirely within the Google Apps Script platform. Your spreadsheet data and generated documents remain within your Google Workspace environment and are never transmitted to external servers operated by Batch Merge.
3. User Accounts and Authentication
To use Batch Merge, you must have a valid Google account or Google Workspace account. The Service authenticates through Google's OAuth 2.0 system and requires you to grant specific permissions (OAuth scopes) for accessing Google Sheets, Google Docs, Google Drive, and Gmail as needed for the Service's functionality.
You are responsible for maintaining the security of your Google account. Batch Merge does not store your Google credentials and relies entirely on Google's authentication infrastructure. Any actions performed through Batch Merge under your account are your responsibility.
If your organization uses Google Workspace, your use of Batch Merge may also be subject to your organization's policies and your Workspace administrator's approval.
4. Acceptable Use
You agree to use Batch Merge only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Use the Service to send unsolicited bulk email (spam) or any communication that violates applicable anti-spam laws, including the CAN-SPAM Act, GDPR, or similar legislation
- Generate documents or send emails containing deceptive, fraudulent, harassing, threatening, defamatory, or otherwise unlawful content
- Attempt to circumvent usage limits, rate limits, or other restrictions imposed by the Service or the Google Apps Script platform
- Use the Service in any way that could damage, disable, overburden, or impair Google's infrastructure or interfere with other users' access
- Reverse engineer, decompile, or disassemble any part of the Service's source code
- Resell, sublicense, or redistribute the Service without prior written consent from Batch Merge
- Violate Google's Workspace Marketplace Terms of Service, API Services User Data Policy, or any other applicable Google policies
We reserve the right to suspend or terminate your access to the Service if we reasonably determine that you have violated any of these acceptable use provisions.
5. Intellectual Property
Your content. You retain full ownership of all data, templates, and documents you create, upload, or generate using Batch Merge. The Service does not claim any intellectual property rights over your spreadsheet data, Google Docs templates, or the documents produced through merges. You grant Batch Merge only the limited, temporary permissions necessary to perform the merge operations you initiate.
Our service. Batch Merge, including its code, design, user interface, documentation, and branding, is the intellectual property of Batch Merge and is protected by applicable copyright and intellectual property laws. These Terms do not grant you any rights to use Batch Merge's trademarks, logos, or branding.
6. Service Pricing and Plans
Batch Merge offers the following subscription tiers:

Pricing is subject to change. We will provide at least 30 days' notice before any price increases take effect for existing subscribers. The Free tier may be modified or discontinued with reasonable notice.
7. Payment Terms
Paid subscriptions are billed through the Google Workspace Marketplace billing system. By subscribing to a paid plan, you agree to the payment terms presented at the time of purchase, including Google's billing and refund policies.
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may manage your subscription and cancel at any time through the Google Workspace Marketplace. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.
Batch Merge does not directly process, store, or have access to your payment information. All payment processing is handled by Google.
8. Service Availability
Batch Merge is provided on an "as is" and "as available" basis. The Service depends on the Google Apps Script platform, Google Workspace APIs, and Google's cloud infrastructure. We do not guarantee uninterrupted or error-free operation of the Service.
Service availability may be affected by:
- Google Apps Script platform outages, maintenance windows, or quota limitations
- Changes to Google Workspace APIs or Google's terms of service
- Google's daily execution time limits and other Apps Script quotas
- Network connectivity issues between your browser and Google's servers
- Scheduled or unscheduled maintenance of the Service
We will make reasonable efforts to maintain the Service's availability and to communicate any planned downtime in advance, but we cannot guarantee specific uptime levels given our dependency on third-party infrastructure.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Batch Merge disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will meet your specific requirements, that merge operations will be error-free, that generated documents will be free from formatting inconsistencies, or that the Service will be compatible with all Google Workspace configurations.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Batch Merge, its developers, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if Batch Merge has been advised of the possibility of such damages.
In no event shall Batch Merge's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the amount you have paid to Batch Merge in the twelve (12) months preceding the claim, or (b) fifty US dollars ($50.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Batch Merge and its developers, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any intellectual property or privacy rights.
12. Termination
By you. You may stop using Batch Merge at any time by uninstalling the add-on from your Google Sheets through the Extensions menu or the Google Workspace Marketplace. No notice to Batch Merge is required. If you are on a paid plan, you should cancel your subscription before uninstalling to avoid future charges.
By us. We may suspend or terminate your access to Batch Merge at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in abusive or fraudulent activity, or if continued provision of the Service to you is no longer commercially viable. We will make reasonable efforts to provide notice before termination except in cases of serious abuse.
Effect of termination. Upon termination, your right to use the Service ceases immediately. Documents you have already generated and data in your Google Sheets remain yours and are unaffected by termination, as they are stored in your own Google Drive.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. When we make material changes, we will update the "Effective Date" at the top of this page and, where practicable, notify you through the Service's interface or by email.
Your continued use of Batch Merge after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should discontinue use of the Service.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, or through the courts of competent jurisdiction in the State of Delaware.
15. General Provisions
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Batch Merge regarding your use of the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver. The failure of Batch Merge to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Batch Merge may assign its rights and obligations under these Terms without restriction.
